TREASURE COAST FIRE CHIEF’S ASSOCIATION
BYLAWS
(first reading for update 03-27-2009)
We, the members of the Treasure Coast Fire Chief’s
Association, Chief Administrators of Fire Agencies,
comprised of the counties of Martin, Okeechobee, St. Lucie
and Indian River, having formed ourselves into an
association, hereby make and ordain the following bylaws for
our guidance and conduct of purpose.
ARTICLE I
PURPOSES
The purpose of this association is to inculcate, foster and
promote a better mutual understanding of the fire service
profession by the citizens and visitors to Martin,
Okeechobee, St. Lucie and Indian River Counties, with the
local, state and federal fire practitioners who serve them;
to secure a unity of action in all fire and emergency
medical service matters; to promote educational and training
standards; and to provide a central source of information
conductive to the professional fire executive’s needs.
ARTICLE II
MEMBERS
A.
Active Member
Must be a Fire Chief, a Public Safety Director, Fire
Marshal; a ranking officer within a member agency that has
at least bureau, division or battalion command of a fire
agency that is located in Martin, Okeechobee, St. Lucie or
Indian River County, or any person approved by the Executive
Board of Directors of this Association.
B.
Active Life Member
Active life membership may be conferred upon retiring active
members who have rendered conspicuous service to the
Association provided that such membership shall be
recommended by the Executive Board and approved by a
majority of the membership conference assembled.
Past Presidents will automatically be considered for
this honor.
C.
Associate Member
Associate membership may be conferred upon any individual
(professional and trade persons, etc.) who has rendered
commendable service in fire protection or assisted members
in this Association in this activity when proposed by a
member and approved by the Executive Board.
Associate members shall be entitled to all rights and
privileges of membership except to vote and hold elected
office.
D.
Voting Rights
One vote per member agency, cast by the Fire Chief, Public
Safety Director, Fire Marshal; (or state or federal agent in
charge) that is present at a duly constituted meeting of the
Association.
Proxy vote may be assigned to an active member from the same
agency if the administrator must be absent from any given
and specific meeting.
ARTICLE III
MEETINGS
Section 1
Meetings of members shall be held at least once every three
months at a place designated at the previous meeting.
Section 2
Special meetings of the members may be called either by the
President or the Executive Board.
Section 3
Quorum: In
regular meetings assembled, a quorum shall not be deemed
present unless at least 50% + 1 of the active voting members
are in attendance.
Section 4
Meetings shall be conducted as per Roberts Rules of
Order.
ARTICLE IV
OFFICERS AND EXECUTIVE BOARD OF DIRECTORS
Section 1
Officers: The
Officers of the Association shall consist of a President; a
Vice President; a Secretary and a Treasurer, all of which
must be a Chief Officer, Public Safety Director, or Fire
Marshal elected from the active membership.
Section 2
Election and Term of Office:
The Officers of the Association shall be elected at
the regular December meeting by the membership
and Officers of the Association.
Those elected by the members and Officers of the Association
shall assume office at the January meeting for the ensuing
year.
The elected board members shall hold the designated office
for a term of two consecutive years, unless specifically
voted on as a one- year term of office.
Nominations
to be made by a Nominating Committee composed of all
past presidents, plus nominations made from the floor at the
general November meeting assembled.
Section 3
Removal: Any
officer may be removed by the Executive Board subject to the
approval of the membership for cause.
Section 4
Vacancies: Any
vacancy occurring in the office
of President; Vice President; Secretary, or
Treasurer because of death, resignation, removal, and
disqualification or otherwise; may be filled by the
membership for the unexpired portion of the term.
Section 5
President: The
President shall be the principal executive officer of the
Association and shall in general supervise and control all
the business and affairs of the Association.
He shall preside at all meetings of the members and
of the Executive Board of Directors.
He may sign, with
the Secretary, or any other proper
Officer of the Association authorized by the
Executive Board of Directors, any deeds, mortgages, bonds,
contracts or other instruments which the Executive Board of
Directors have authorized to be executed.
In general, he shall perform all duties as may be
prescribed by the Executive Board of Directors from time to
time.
Section 6
a.
Vice President:
In the absence of the President or in the event of
his inability to act, the Vice President shall perform the
duties of the President.
b.
In the absence of the President and Vice President,
or in the event of this inability or refusal to act, a
temporary chairperson appointed by majority of members
present, shall perform the duties of the President.
c.
When the Vice President shall act as the President,
he shall have the powers of, and be subject to all
restrictions upon the President.
The Vice President shall perform such other duties as
from time to time may be assigned to him by the President or
by the Executive Board of Directors.
Section 7
Secretary: The
Secretary shall keep the minutes of the meetings of the
members and the Executive Board of Directors in one or more
books provided for the purpose, see that all notices are
duly given in accordance with the provisions of these
By-laws as required by law, be custodian of the
Association’s records, keep a register of the post office
address of each member which shall be furnished to the
Secretary by such member; and in general perform all duties
as from time to time may be assigned by the President or the
Executive Board of Directors.
Section 8
Treasurer: The
Treasurer shall have charge and custody of, and be
responsible for all funds and securities of the Association,
receive and give receipts for monies due and payable to the
Association from any source whatsoever, the deposit of all
such monies in the name of the Association in such banks,
trust companies or other depositories as shall be selected
in accordance with the provisions of these By-laws. The
Treasurer shall be the corporate registered agent of record.
Section 9
ARTICLE VII
FISCAL YEAR
The fiscal year of the Association shall begin on the first
day of January and end on the last day of December in each
year.
ARTICLE VIII
DUES
Section 1
Annual Dues:
The Executive Board of Directors may determine from time to
time the amount of initiation fee, if any, and the annual
dues payable to the Association by members.
